Please read these Terms of Service ("Terms", "EULA") carefully before using SheetsSync ("the Service", "the Add-on"), a QuickBooks to Google Sheets synchronization tool operated by SheetsSync ("we", "us", "our").
By installing or using SheetsSync, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access the Service.
1. Service Description
SheetsSync is a Google Sheets add-on that enables you to:
- Connect your QuickBooks Online account via secure OAuth 2.0
- Select QuickBooks entities (Invoices, Customers, Vendors, etc.) to sync
- Import your QuickBooks data into Google Sheets
- Maintain read-only access to your financial data
2. Account Requirements
2.1 Required Accounts
To use SheetsSync, you must have:
- A valid Google account with access to Google Sheets
- A QuickBooks Online account (Simple Start, Essentials, Plus, or Advanced)
- Administrative access to authorize third-party connections
2.2 Account Responsibility
You are responsible for:
- Maintaining the security of your account credentials
- All activities that occur under your account
- Ensuring you have proper authorization to access and export QuickBooks data
3. License Grant
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use SheetsSync for your personal or internal business purposes.
4. Prohibited Uses
You agree NOT to use SheetsSync to:
- Violate any applicable laws or regulations
- Access data you are not authorized to view
- Attempt to bypass or circumvent security measures
- Reverse engineer, decompile, or disassemble the Service
- Use automated systems to access the Service beyond intended functionality
- Share your account access with unauthorized third parties
- Resell, sublicense, or redistribute the Service
- Transmit malware or malicious code
- Interfere with or disrupt the Service
5. Data and Privacy
5.1 Your Data
You retain all ownership rights to your QuickBooks data. We do not claim any ownership of data synced through our Service.
5.2 Data Processing
By using SheetsSync, you authorize us to:
- Access your QuickBooks data via OAuth
- Process data in-memory during sync operations
- Write data to your designated Google Sheets
5.3 Privacy Policy
Your use of SheetsSync is also governed by our Privacy Policy, which describes how we collect and handle your information.
6. Third-Party Services
6.1 QuickBooks
SheetsSync integrates with QuickBooks Online provided by Intuit Inc. Your use of QuickBooks is subject to Intuit's terms of service.
6.2 Google
SheetsSync operates within Google Sheets. Your use of Google services is subject to Google's terms of service.
6.3 Integration Availability
We do not guarantee continued compatibility with third-party services. Changes to QuickBooks or Google APIs may affect functionality.
7. Service Availability
7.1 Uptime
We strive to maintain high availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to:
- Scheduled maintenance
- Emergency repairs
- Third-party service outages
- Circumstances beyond our control
7.2 Modifications
We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice.
8. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.
We expressly disclaim all warranties including, but not limited to:
- Implied warranties of merchantability
- Fitness for a particular purpose
- Non-infringement
- Accuracy or reliability of data
- Uninterrupted or error-free operation
9. Limitation of Liability
IN NO EVENT SHALL SHEETSSYNC BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.
This includes, without limitation:
- Loss of profits or revenue
- Loss of data
- Business interruption
- Cost of substitute services
Our total liability shall not exceed the amount you paid us in the twelve (12) months preceding the claim, or $100, whichever is greater.
10. Indemnification
You agree to indemnify and hold harmless SheetsSync and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from:
- Your use of the Service
- Your violation of these Terms
- Your violation of any third-party rights
- Your violation of applicable laws
11. Termination
11.1 By You
You may terminate your use of SheetsSync at any time by:
- Disconnecting your QuickBooks account
- Uninstalling the add-on from Google Sheets
- Contacting us to request account deletion
11.2 By Us
We may terminate or suspend your access immediately, without prior notice, for:
- Violation of these Terms
- Suspected fraudulent or illegal activity
- Extended inactivity
- Discontinuation of the Service
11.3 Effect of Termination
Upon termination:
- Your OAuth tokens will be deleted
- Your connection data will be removed
- Data already synced to your Google Sheets will remain
12. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to conflict of law provisions.
13. Dispute Resolution
Any disputes arising from these Terms or your use of the Service shall be resolved through:
- Good faith negotiation between the parties
- Binding arbitration if negotiation fails
You waive any right to participate in class action lawsuits or class-wide arbitration.
14. Changes to Terms
We reserve the right to modify these Terms at any time. We will provide notice of significant changes by:
- Posting the updated Terms on this page
- Updating the "Last Updated" date
- Sending email notification for material changes
Continued use of the Service after changes constitutes acceptance of the new Terms.
15. Severability
If any provision of these Terms is found unenforceable, the remaining provisions shall continue in full force and effect.
16. Entire Agreement
These Terms, together with the Privacy Policy, constitute the entire agreement between you and SheetsSync regarding the Service.
